Terms of Use

1. Introduction
Welcome to UBER SHOPPING MALL - COMMERCIAL, a business-to-business (“B2B”) networking and membership platform connecting suppliers, buyers, and advertisers. These Terms of Service (“Terms”) apply to all membership types and use of the UBER SHOPPING MALL - COMMERCIAL B2B services (“Services”).
By applying for membership and paying applicable fees, you agree to be bound by these Terms.
2. Membership Types & Fees
2.1 Membership Types
• Supplier Membership – access to buyer networks and opportunities.
• Buyer Membership – access to vetted suppliers across multiple industries.
• Advertiser Membership – promotional and advertising services on UBER SHOPPING MALL - COMMERCIAL.
2.2 Membership Fees
• Membership fee: A$99 PA (annual or monthly payment options).
• Fees provide access to premium features and member services.
2.3 Additional Supplier Fees
Additional fees may apply based on:
• Supplier category
• Number of products uploaded
• Any optional service packages
2.4 Additional Advertiser Fees
Advertising costs vary based on:
• advertisement size
• duration
• placement
A detailed fee schedule is available on request.
2.5 Pricing Changes
Prices may change with advance notice to members.
2.6 Refunds
All fees are non-refundable, except where an application is declined before activation.
2.7 Activation
Fees apply only after membership or services are activated.
3. Acceptance or Rejection of Applications
UBER SHOPPING MALL - COMMERCIAL may accept or decline any membership application at its sole discretion. If declined, any fees paid prior to activation will be refunded.
4. Nature of Services
UBER SHOPPING MALL - COMMERCIAL provides introductory services only and is not a party to any transactions or contracts between suppliers and buyers.
UBER SHOPPING MALL - COMMERCIAL does not:
• warrant or guarantee the quality, suitability, fitness, or legality of goods or services offered by members
• act as agent, partner, trustee, or representative of any member
• accept liability for commercial dealings between members
5. No Representations or Warranties
To the extent permitted by law, UBER SHOPPING MALL - COMMERCIAL gives no warranties, express or implied, regarding:
• merchantability
• fitness for purpose
• quality
• performance
• accuracy
• non-infringement of third-party rights
Members acknowledge that all goods and services are provided by third-party suppliers, not UBER SHOPPING MALL - COMMERCIAL.
6. Member Obligations & Indemnity
Members agree to:
• provide accurate, current information
• notify UBER SHOPPING MALL - COMMERCIAL of changes to business details
• comply with all applicable laws
• not make fraudulent offers or list prohibited goods/services
Members must indemnify UBER SHOPPING MALL - COMMERCIAL against all losses, costs, or liabilities related to:
• breach of these Terms
• reliance by UBER SHOPPING MALL - COMMERCIAL on information provided by the member
• disputes arising from transactions between members
• IP infringement or misappropriation caused by member content
Indemnities survive membership termination.
7. Termination
UBER SHOPPING MALL - COMMERCIAL or the Member may terminate membership by written notice (including email). Termination does not entitle the member to a refund of fees paid.
8. Service Interruptions
UBER SHOPPING MALL - COMMERCIAL is not liable for unavoidable outages or interruptions.
9. Accuracy of Information
Members warrant that all information they provide is true, complete, and accurate, and that they will update it promptly when required.
10. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Members submit to the non-exclusive jurisdiction of NSW courts.
11. Variation of Terms
UBER SHOPPING MALL - COMMERCIAL may amend these Terms at any time. Changes take effect upon notification to members.
